Every state expects an annual report or franchise tax from the companies registered there. Miss one and the state adds penalties, and eventually it can revoke the company’s good standing. We keep the calendar for each of your entities, file on time and send you the state’s confirmation.

Services

What we handle for your companies

From the day a company is formed to the day it is dissolved, the state filings it needs.

Registered agent and service of process

We accept legal papers and official state notices for your company at a physical address in every state where it is registered. A lawsuit or subpoena is scanned and sent to you the day it arrives, marked urgent, and we follow up until you confirm you have it.

Annual reports and franchise tax

We track the annual report and franchise tax due dates for each entity in all 50 states, prepare the filing from the information on record and file it before the due date. You receive the state’s confirmation number. For Delaware corporations we calculate the tax both ways the state allows and file using the lower amount.

Formations

LLCs and corporations in any state, with expedited processing where the state offers it. Delaware, Georgia, California, Florida and Wyoming can be ordered and paid for online; other states are quoted. The first year of registered agent service is included.

Amendments and corporate changes

Name changes, amended and restated certificates of incorporation, LLC certificate amendments and changes of registered agent.

Doing business in another state

When a company starts doing business outside the state where it was formed, most states require it to register there first. We file the foreign qualification, order the good standing certificate the application needs and act as registered agent in the new state.

UCC filings

UCC-3 amendments to a financing statement: continuations, assignments, changes to parties or collateral, and terminations.

How it works

One calendar. One invoice a year.

01

We set up the calendar

Each entity’s due dates come from its state, entity type and formation date, under that state’s filing rules.

02

You get one invoice

Each December we send a single invoice for the coming year. Delaware corporations are invoiced once the franchise tax is calculated.

03

Pay or set it and forget it

Pay by bank (no fee), card or wire, or turn on automatic payment and we charge your saved account on the due date.

04

Filed and confirmed

We file before the due date and email you the state’s confirmation number. It is also recorded in your portal.

Where we file

All 50 states.

Registered agent service and annual filings everywhere your companies are registered. Due dates and fees come from each state’s official filing instructions and fee schedule.

State fees come from each state’s official fee schedule; your order shows the amount before you pay. Expedited processing is available where the state offers it. Other states and services are quoted.

1 Delaware’s fee for a one-page certificate. More authorized shares raise the stock fee (8 Del. C. § 391), and each extra page adds $9; the order form calculates it from your share structure.
2 $100 filing fee plus $25 registered agent designation. Florida’s card processor adds a convenience fee, billed at the amount charged.
3 $100 filing fee plus Wyoming’s 2.4% online card processing fee.

Questions

Frequently asked

What does a registered agent do?

Every LLC and corporation must name a registered agent with a physical address in each state where it is registered. The agent receives lawsuits and official state mail for the company. We log everything that arrives and send it to you the same day.

When will I be invoiced?

Once a year, in December, for the coming year’s filings and registered agent service. Delaware corporations are invoiced separately after we calculate the franchise tax from figures you send us in January.

How can I pay?

By bank debit (ACH) with no fee, by card with a processing fee, or by wire. You can also turn on automatic payment, and we charge your saved card or bank account for each annual invoice on its due date. You can turn it off in your client portal at any time. One-off orders are paid before we file.

How do I know a filing was made?

When the state accepts a filing we email you its confirmation number, and it is recorded against the entity in your client portal.

Can you take over my existing companies?

Yes. Send us the list. We set up each entity’s filing calendar and file the change of registered agent in each state where you want us to act.

Do you give legal or tax advice?

No. We prepare and file state filings from the information you give us. For legal or tax questions, speak with your attorney or accountant.

Moving your companies to us, or have a question?

Email us the list of entities and we will take it from there.
