The service
Cornerstone Registry LLC ("Cornerstone", "we") provides registered agent service, tracks state annual report and franchise tax due dates, and prepares and files state filings for the companies you place with us. We act on the information you give us and do not verify it independently.
Cornerstone is not a law firm and does not give legal, tax or accounting advice. Nothing we say or send is advice about your rights or obligations. For that, consult your own attorney or accountant.
Registered agent
Where we act as registered agent, we accept service of process and official mail for your company at our address in that state, log it, and send it to you by email the day it arrives. Service of process is marked urgent, and we follow up until you confirm you received it.
You must keep your contact email current. If we cannot reach you, legal deadlines may run without your knowledge; that risk is yours.
If the service ends, for non-payment or because you cancel, you must appoint a new registered agent. We may file a resignation as agent where the state allows it.
Fees and payment
Our service fees are as quoted when you order or as shown on your invoice. State filing fees, taxes and any charge the state's payment system adds are passed through at the amount the state charges, without markup.
Orders are paid before we file. Annual invoices are sent each December for the coming year and are due 30 days after the invoice date. Card payments include a processing fee of up to 3%; bank (ACH) payments have no fee.
State fees, once paid to the state, cannot be refunded. If you cancel before we submit a filing, we refund our fee and any state fee not yet paid for that filing.
Automatic renewal and automatic payment
Registered agent and annual compliance services renew automatically for one year at a time until you cancel. Each renewal is invoiced in December, and the invoice states the amount and the date it is due.
If you turn on automatic payment, you authorize us to charge the card or bank account you saved for each annual invoice on its due date. We send the invoice at least 30 days before charging it. If a charge fails, we email you a link to pay another way.
You can turn off automatic payment at any time in your client portal, or cancel the service by emailing admin@cornerstoneregistry.ai. Turning it off or cancelling before an invoice's due date stops that charge.
Your responsibilities
You confirm that you are authorized to act for each company you place with us and that the information you give us is complete and accurate. Tell us promptly about changes to your companies' names, addresses, officers or ownership.
Liability
We are responsible for filing what you ask us to file, on time, once you have paid and given us the information the filing needs. We are not responsible for penalties or loss caused by information that was late, incomplete or inaccurate, or by a state's own delay or error. Our liability for any claim is limited to the fees you paid us for the service concerned in the 12 months before the claim.
Electronic records
You agree to receive notices, invoices, filed documents and these terms electronically, and that ticking "I agree" is your signature. We keep a record of each acceptance, including the version of these terms, the time, your email and your IP address.
Changes
We may update these terms. The version you accept applies until you accept a newer one, which we will ask you to do the next time you order or pay.
